一 簽立進出口契約書的意義

買賣雙方在進行交易磋商時，無論是採用書面或口頭的方式，只要一方的報價經另一方爲有效的接受，即可成立法律上有效的契約，雙方是否於事後簽立買賣契約書，並不影響契約的成立。換言之，買賣契約並非契約成立的要件，依據契約自由原則，只要當事人意思合致，契約即告成立，在法律上，通常不設固定的契約方式，契約可以任何方式證明。但是在國際商品買賣中，由於契約條款關係雙方權益至鉅，一般都有簽立書面的買賣契約，此乃由於書面契約具有以下重要意義：

一、契約書可作為契約成立的證明

買賣雙方在進行交易時，經常以信函、電報或國際電話接洽，報價與接受時所用的信件、電報，甚至電話錄音，都是契約成立的證據，但是以口頭磋商達成的交易，如果沒有書面或錄音，則難以證明契約的成立。因此，以口頭磋商成立的契約，若不以契約書的方式加以確定，將因爲不能舉證而無法獲得法律的保障，而即使是以書面方式磋商成立的契約，也多會於契約成立後另行簽立書面契約，以作爲契約成立的證明。

二、契約書有時是契約生效的要件

前曾述及，契約書的簽立並非契約成立的要件，並且契約書並不限定其格式或名稱，這是僅就一般情形而言。如果買賣雙方曾於事前約定，或法律上有規定契約的成立必須簽訂書面契約書，則即使雙方已對契約內容達成一致的合意，在書面契約簽訂之前，契約仍不算是有效，在此情形，簽訂契約書就成爲契約生效的要件。

三、契約書可作為履行契約的依據

國際貿易中，進出口程序的進行涉及企業內外的衆多部門，過程及手續也比較複雜，口頭達成的契約，若不以書面方式詳載其條件，幾乎無法履行，即使是以信函或電報等方式達成的交易，若不將分散在多份往來函電中有關雙方協商一致的條件，集中歸納到一份書面契約當中，雙方恐怕也難以掌握確定的契約條件，而做到確實的履行。因此，無論是以口頭或書面所達成的契約，若能將合意的內容，明確地載於書面的契約中，則對於釐清雙方權利義務，並爲契約的履行提供詳實的依據，將具有重要的意義。

 

二 簽立進出口契約書的方式

一般而言，國際貿易契約書的格式及名稱，多無特定的限制，契約書(contract)、確認書(confirmation)、協議書(agreement)或備忘錄(memorandum)均有使用，其中，採用契約書或確認書者較爲常見。

一、契約書

契約書的簽立方式有二：

(一)雙方共同簽立

即由買賣雙方互派代表會同起草製作，並且當場簽署。通常製作兩份，簽署後雙方各執一份。

(二)單方草擬製作，經雙方簽署

由買方或賣方先行起稿製作，通常也是製作兩份，於兩份上面簽署後寄交對方，對方於審核無誤後，也在兩份上簽署，保留一份，將另一份寄回。以此方式簽立的契約書，多以契約書作爲名稱，例如：買賣契約書(sales & purchase contract)或輸出入契約書(export & import contract)。

二、確認書

契約成立後，由買方或賣方將契約內容以書面方式製成確認書，寄交對方，以確認交易的條件。其方式也是寄出兩份，請對方簽署後寄回一份，由雙方各執一份。由於具備契約書的型式，故與契約書有同等的效力。

這種確認書，若是由買方製作者，稱爲購貨確認書(purchase confirmation; confirmation of purchase) ; 由賣方製作者，稱爲售貨確認書(sales confirmation; cofirmation of sales)。有時，買方於契約成立後，以訂單(order; order sheet; indent) 寄交賣方，確認交易內容，該訂單若經雙方簽署，也具有契約書的效力。

買賣雙方在進行交易磋商時，通常僅就契約中有關貨物名稱、品質規格、數量、價格、交貨、付款、包裝及保險等基本條件做協商，至於檢驗(inspection)、索賠(claim)、仲裁(arbitration)、不可抗力(force majeure)或匯率風險(foreign exchange rate risk)等一般條件，往往略而不提，但是在契約成立後，簽立契約書時，爲使買賣雙方的權利義務得以詳盡而明確，除基本條件外，一般條件也都詳列於契約書中。如果契約書是由買賣雙方共同製作簽立的，則可於簽約時針對一般條件當面進行協商，以此方式，由於一般條件是由雙方共同協商，自然較爲公平，不致對一方太不利，或過於偏袒某一方；如果契約是由單方草擬製作的，則一般條件多由製作的一方自行擬定，如此，則製成的契約書或確認書內容難免有利於製作的一方，而不利於另一方，以此方式，相對的一方應謹懾硏讀契約條件，一旦發現問題，即提出修改要求，俟全部條件均可接受再簽署，以確保權益。

 

三 進出口契約書內容及實例

一、造出口契約書內容結構

契約書內容的結構，雖然由於交易性質以及交易條件的不同而有差別，但是簡明、完整爲製作契約書時應該掌握的基本原則，進出口契約書一般的構成項目有：

(一)契約名稱(title)

契約書不一定要有名稱，即使有名稱，也不限定應以何爲名稱，舉凡agreement、contract、confirmation、order sheet等，都可以作爲契約名稱。不過，既然要冠上契約名稱，就應該安上恰當的名稱，以求名副其實，有時更將貨品名稱也一併標示出來，例如：

(二)前文 (preamble)

契約書的前文即其開頭部分，通常載明以下各項內容：(1)簽約日期；(2)簽約當事人名稱及其地址；(3)簽約地點。

(三)本文 (body)

本文爲契約最重要的部分，通常由以下各項目所構成：

1. 定義條款(definition clause) : 在契約書中如果某些用語一再出現，爲簡化契約書內容，以簡稱代替該用語；或者有些用語定義模糊不明確，爲免解釋上發生歧見，將其意義加以界定，均設定義條款，例如：

The terms "Net Selling Price" means…… The terms "K" means……

2. 基本條款(basic condition) : 即進出口契約中的主要條款，包括商品名稱、品質、數量、價格、交貨、付款、包裝及保險等條款，基本條款於第六章已述及，不再贅述。

3. 一般條款(general terms and condition) : 即一般契約書通常共有的記載事項，進出口契約的一般條款包括以下各項：

(1)契約有效期限 (duration; period of contract)。

(2)檢驗條款 (inspection) : 檢驗項目、檢驗時地、檢驗機構、檢驗方法、檢驗費用的負擔及檢驗報告的效力。

(3)索賠條款 (claim) : 解決索賠的原則、提出索賠的期限、提出索賠的通知方法、應提出的證明文件及賠償的方式。

(4)仲裁條款 (arbitration) : 仲裁的範圍、仲裁地、仲裁機構、仲裁人的選定方式及仲裁費用的負擔。

 

(5)不可抗力條款 (force majeure) : 不可抗力事故的種類、通知的期限及方法、應提出的證明文件、可免責事項及善後處理方式。

(6)智慧財產權 (intellectual property right) : 智慧財產權的範圍及侵犯智慧財產權的免責規定。

(7)違約及解約權條款 (breach and cancellation of contract) : 可解約的事由及行使解約權後的賠償問題。(8)其他條款：諸如匯率變動條款、準據法條款、稅捐條款及契約修改條款等。

以上所列乃常見的進出口契約一般條款，至於買賣雙方究應約定哪些一般條款，以及約定的內容爲何，均無一定限制，端視商品種類、交易性質以及買賣習慣而定。

(四)結語 (witness)

契約書本文之後所記載的結尾文字，除應由當事人簽署外，有時尙加以封印。

 

二、契約書實例

茲以第八章所述有關X’Mas Deco. 的交易，各舉售貨確認書、訂單及契約書實例，如下：

(2) 一般條款：即契約中一般通常共有的記載事項，由於其大多必須能適用於以後的每筆交易，故不宜釐訂過細。

(3) 當基本條款與一般條款發生牴觸或矛盾時，應以基本條款為優先。

 

案例

一、全達貿易公司擬向美國購買機械零件，但全達公司在向美國供應商發出訂單後，對方卻不予簽認，而改寄一份附有該公司銷售標準條款的確認書予買方，全達公司雖對賣方所寄的確認書內容條款有一些不能同意之處，但雙方均未再就買賣條件協商確定，嗣後倘因交貨不符，發生貿易糾紛，究應以買方訂單條款、賣方銷售條款或信用狀條款爲準?

一、以賣方銷售條款為準。

二、在船期不多的地區，如中南美洲及非洲經常發生如下情形：

貿易契約上規定於接到信用狀後若干天內裝船，然在該期限內，根本無船期或是船期最近班次在甫接信用狀時，下班船期則已超過有效裝船期限，貿易商不知何時將接到信用狀，接到信用狀時又恐無適當船期，不知交貨好，還是不交貨好，試問出口商該如何在契約上加上何條款以保護自己?

二、於交貨條件中附加，例如「subject to shipping space available」的條款。

 

三、試依本書第八章實習第三題的報價單，擬具一份訂購單 (order)，並以賣方身分，對買方所發訂購單，擬具一份售貨確認書 (sales confirmation)。
